Statutes of the Studentenwerk Stuttgart

Based on § 1 para. 2 in connection with § 8 para. 1 of the Studentenwerksgesetz Baden-Württemberg (StWG) from 01-Jan-2005 (Gesetzblatt pg. 1), the assembly of representatives of the Studentenwerk Stuttgart has decided in its meeting of 20-Oct-2006 to change and amend § 1 item 3 of its statutes decided on 20-Dec-1999 and 20-Oct-2000 with authority of the Ministry of Science (decree from 08.11.2000 file No. 45-666.0/67):
§ 1 – Name, Registered Office and Jurisdiction
1. The Studentenwerk Stuttgart is a legal organisation under public law. It is registered as: Studentenwerk Stuttgart – Anstalt des öffentlichen Rechts [Organisation under public law].
2. The Studentenwerk Stuttgart has an official seal and is based in Stuttgart.
3. Studentenwerk Stuttgart provides social support and guidance for students in collaboration with the following universities and academies:
• Universität Stuttgart
• Pädagogische Hochschule Ludwigsburg
• Staatliche Hochschule für Musik und Darstellende Kunst Stuttgart
• Staatliche Akademie der Bildenden Künste Stuttgart
• Hochschule für Technik Stuttgart
• Hochschule der Medien Stuttgart
• Hochschule für öffentliche Verwaltung und Finanzen Ludwigsburg
• Duale Hochschule Baden-Württemberg Stuttgart
• Filmakademie Baden-Württemberg – Ludwigsburg
• Evangelische Hochschule Ludwigsburg
• Hochschule Esslingen
• Württembergische Verwaltungs- und Wirtschafts-Akademie e.V.
• Akademie für Darstellende Kunst Baden-Württemberg
§ 2 – Non-profit Organisation
1. The activities of the Studentenwerk Stuttgart are exclusively and directly limited to non-profit activities as stipulated in the article “tax-privileged purposes” of the Abgabenordnung [German Tax Regulations].
2. Including but not limited to, non-profit activities are provided by offering social, economical and cultural support to students (Student Support), for example with the following facilities, actions and services:
• Establishment and maintenance of food services (refectories and cafeterias)
The non-profit aspect is met by providing students with meals and drinks at particularly low prices.
• Building and renting of student housing
The non-profit aspect is met by renting living space to students at a low price and by offering support programs for students (tutor program, community facilities).
• Promotion of cultural, social and sports activities for students, as well as the promotion and support for students with special needs: disabled students, single parents, foreign students.
The non-profit aspect can be met by providing appropriate room and space and by providing appropriate services and events.
• Establishment and maintenance of child care centres
Providing these facilities will directly assist students.
• Programs for counselling, placement and health promotion
The non-profit aspect can be met by establishing and maintaining counselling- and placement facilities and by providing appropriate services.
3. The Studentenwerk Stuttgart is primarily a non-profit organisation and does not pursue profit. The Studentenwerk Stuttgart’s financial means may only be used for purposes stipulated in the statute.
4. No person may be favoured through expenditures, which do not serve the institution’s purpose or are disproportionately high.
§ 3 – Organs of the Organisation
In accordance with § 4 of the StWG, the Organs of the Studentenwerk Stuttgart are:
• the Executive Director,
• the Board of Directors and
• the Representative Assembly
§ 4 – Representative Assembly
1. Configuration, formation and proceedings of the Representative Assembly act in accordance with §§ 8, 9 and 10 of the StWG.
2. The Representative Assembly determines the Studentenwerk Stuttgart’s statute as well as any amendments. The Representative Assembly elects the members of the Board of Directors. If the representatives for the students are not available, the Representative Assembly will appoint the same number of substitute(s).
3. The Executive Director provides the Representative Assembly with information about the Studentenwerk’s activities.
4. The Representative Assembly may establish their own bylaws.
§ 5 – Board of Directors / Configuration / Term of Office
1. The Representative Assembly elects the members of the Board of Directors. The Ministry of Science appoints its own representative. In addition to the statutory members of the Board of Directors, the Representative Assembly may elect up to two authorised experts as permanent consulting members.
2. The tenure for the three student’s representatives is one year. It is two years for the electoral members. The tenure always starts on the 1st of January. If no new member has been appointed by the expiration of the tenure, the existing member will stay in office. A member may be appointed belatedly; this member’s tenure will expire according to the standard regulations, however. The re-election of existing Board of Director’s members is permitted.
3. Membership of the Board of Directors ends through resignation,
• the membership for the representatives of the universities’ management expires whenever their tenure as a member of the university’s management ends,
• the membership for the student’s representatives expires whenever they cease being a member of the university.
Resignation is only permitted upon good cause shown. The Chairman of the Board of Directors decides if the resignation is approved.
4. Should a member of the Board of Directors quit while in office, a new member will be elected for the remainder of the tenure.
5. The members of the Board of Directors work in an honorary capacity without salary.
§ 6 – Procedures and Duties of the Board of Directors
1. The duties of the Board of Directors are stipulated by § 6 StWG. The Board of Directors elects and appoints the Executive Director.
2. All persons participating in a Board of Director’s meeting are sworn to secrecy, as long as the issues are in regard to personnel matters. This does not exclude the official application and results of this meeting.
3. A member of the Board of Directors may not participate in the handling of a matter, in neither an advising or a deciding capacity, if the member is biased due to the possibility that the matter’s decision could provide him/her with a direct advantage or disadvantage. The Board of Directors decides if a person might be biased. Said person may not be present during that decision.
4. In urgent matters, the Executive Director may request the calling of a Board of Director’s meeting on short notice, as well as the deliberation and decision of certain matters.
5. The Board of Directors may establish their own bylaws.
§ 7 – Utilisation of Facilities
The Board of Directors may decide how facilities will be used by issuing the terms of use.
§ 8 – Official Notices
Official notices from the Studentenwerk Stuttgart may be announced through the official notices publicised by the universities that are affiliated with the Studentenwerk Stuttgart. If a university does not offer official notices, the official notice of the Universität Stuttgart will take effect. Said official notice will be provided to the appropriate universities, where it will be provided to their students.
§ 9 – Contribution Notice
The Studentenwerk Stuttgart issues the contribution notice. The contribution notice may be presented to the students of the individual universities, the Duale Hochschule Baden-Württemberg Stuttgart and the Filmakademie Baden-Württemberg Ludwigsburg, the Akademie für Darstellende Kunst Baden-Württemberg and the Württembergische Verwaltungs- und Wirtschaftsakademie in accordance with the university’s own regulations.
§ 10 – Inception of the Statute
This statute comes into effect the day after its publication.
